Terms of Service

These terms govern your use of Cellcath ("the Service"), operated by Current Digital Marketing, LLC, a Rhode Island Limited Liability Company located at 12 Mayflower Drive, Cumberland, Rhode Island ("we," "us," "our").

By creating an account or using Cellcath, you agree to these terms. If you don't agree, don't use the Service.

1. What Cellcath Does

Cellcath is a diagnostic SaaS that analyzes marketing funnels, ads, and offers. You connect your Meta Ads account, paste URLs, and Cellcath returns scored diagnostics, prioritized fixes, and copy rewrites.

Cellcath provides analysis and recommendations. It does not guarantee revenue, conversion rates, ROAS, or any specific business outcome. Marketing results depend on factors outside our control — your offer, your traffic, your execution, market conditions, and your audience.

2. Your Account

You must:

• Provide accurate registration information.
• Keep your password secure.
• Be at least 18 years old.
• Use the Service for lawful business purposes only.

You're responsible for everything that happens under your account.

3. Subscription and Payment

Cellcath is a subscription service billed monthly ($47/mo) or annually ($470/yr). All payments are processed by Stripe.

• Founding-member pricing ($47/mo or $470/yr) is locked for the life of your active subscription. If you cancel and resubscribe later, current pricing applies.
• Subscriptions renew automatically until canceled.
• You can cancel anytime from your account dashboard or by emailing mark@marketwithmark.com.
• Canceling stops future charges. You keep access until the end of your current billing period.

4. Refunds

See our Refund Policy for full details. Short version:

• 30-day money-back guarantee on your first subscription.
• After 30 days, monthly subscriptions are non-refundable for the current period — you simply cancel future renewals.
• After 30 days, annual subscriptions are refundable on a pro-rated basis for unused months.

5. Acceptable Use

You may not:

• Use Cellcath to analyze funnels, ads, or offers you don't own or have permission to analyze.
• Reverse-engineer, copy, or resell the Service or its outputs.
• Use the Service to violate any law, Meta's terms, or any third-party rights.
• Attempt to bypass rate limits, access controls, or scrape the platform.
• Submit malicious URLs, malware, or content that could harm the Service or other users.

We can suspend or terminate accounts that violate these rules.

6. Your Content and Data

You own the URLs, copy, ad creative, and business data you submit. By using Cellcath, you grant us a limited license to process that data solely to deliver the Service to you.

We do not:

• Sell your data.
• Share your data with anyone outside our payment processor (Stripe) and the advertising platforms you connect (Meta).
• Train AI models on your data.

7. Third-Party Integrations

Cellcath connects to Meta Ads and other third-party platforms. Those platforms have their own terms and we're not responsible for their availability, accuracy, or policies. If a third-party platform changes its API, limits access, or shuts down, parts of the Service may stop working.

8. AI-Generated Outputs

Cellcath uses AI to generate diagnostics, copy rewrites, and recommendations. AI outputs can contain errors, inaccuracies, or suggestions that don't fit your specific situation. Use your judgment. Don't deploy AI-generated copy or strategy without reviewing it first.

You're responsible for everything you publish, run, or charge for based on Cellcath's recommendations.

9. Service Availability

We aim for high uptime but don't guarantee uninterrupted service. We may take the Service offline for maintenance, updates, or because something broke. We're not liable for downtime, data loss during outages, or business impact from service interruptions.

10. Intellectual Property

Cellcath — including the diagnostic engine, scoring methodology, UI, copy, and brand — is owned by Current Digital Marketing, LLC. You get a limited, non-transferable license to use the Service for the duration of your subscription. That's it.

11. Termination

Either party can end this agreement anytime. You cancel from your dashboard. We can terminate for terms violations, non-payment, fraud, or any reason at our discretion.

On termination:

• Your access ends at the end of your current billing period (unless terminated for cause, which is immediate).
• Your data is retained for 30 days, then permanently deleted unless you request earlier deletion.

12. Disclaimers

Cellcath is provided "as is." We make no warranties — express or implied — about merchantability, fitness for a particular purpose, accuracy of diagnostics, or business results.

You use Cellcath at your own risk.

13. Limitation of Liability

To the maximum extent allowed by law, Current Digital Marketing, LLC's total liability for any claim related to the Service is capped at the amount you paid us in the 12 months before the claim.

We're not liable for indirect, incidental, consequential, or punitive damages — including lost revenue, lost data, or business interruption.

14. Indemnification

You agree to indemnify Current Digital Marketing, LLC against claims arising from your use of the Service, your violation of these terms, or your violation of any law or third-party right.

15. Changes to These Terms

We may update these terms. If changes are material, we'll notify you by email or in-app notice at least 14 days before they take effect. Continued use after changes means you accept them.

16. Governing Law

These terms are governed by the laws of the State of Rhode Island, USA. Any disputes will be resolved in Rhode Island state or federal courts.
